Spinx is sponsoring sweepstakes to customers and interested persons this summer (collectively the “Sweepstakes”). Please find below the Official Rules and Regulations related to both Sweepstakes offered.

• • Eligibility: Participants and potential winners must be at least 18-years or older as of June 1, 2025, to be eligible. Participants and potential winners must be legal residents of either the state of North Carolina or South Carolina in the United States, which residency shall be finally determined by Spinx. Employees of Spinx, their respective parents, subsidiaries, affiliates, distributors, suppliers and advertising, promotional or judging agencies and immediate family members of such employees (parent, child, sibling, spouse) and persons living in the same household of such employees (whether related or not) are not eligible to win. No groups, clubs or organizations may enter or win prizes.  The potential winner will need to agree to provide Spinx personal information for tax purposes. Refusing to provide the requested information will result in the potential winner forfeiting their prize.
  • General: No substitution of prize is offered, no transfer of prize to a third party is permitted, and noncash prizes may not be redeemed for cash value, except as determined by Spinx in its sole discretion. Offer is void wherever prohibited or restricted by law. All participants, as a condition of entry, agree to be bound by these rules and the decisions of Spinx which shall be final and binding. All participants, as a condition of participation, and all potential winners agree to allow Spinx to contact them via email about future Spinx events and/or promotions. Should an individual wish to receive a list of the winners of the sweepstakes, he or she may contact the Sponsor at the address written above.

• • Release: All participants, as a condition of participation, and all potential winners, by acceptance of a prize, agree to release Spinx and each of its respective parents, subsidiaries, divisions, affiliates, suppliers, distributors and advertising, promotional or judging agencies from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons and property which may be sustained in connection with the receipt, ownership or use of the prize or while preparing for, participating in, and/or traveling to and from any prize-related activity or any typographical or othererror in the printing of these Official Rules or the offering or announcement of any prize. Spinx does not make any representations or warranties of any kind concerning the appearance, performance or safety of any prize awarded. Upon request, winners must consent to the use of their name, voice, picture or other likeness without compensation for promotional purposes as determined Spinx, except where prohibited by law.

• • Limitation of Liability: IN NO EVENT WILL SPINX, AND/OR SPINX’S PARENT, SUBSIDIARY, LICENSEES, EMPLOYEES, AGENTS, OFFICERS, DIRECTORS, ASSIGNS, AFFILIATES, OR RELATED COMPANIES (COLLECTIVELY WITH SPINX, THE “SPINX PARTIES”), BE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTAL, OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS) ARISING OUT OF ANY PARTICIPANT’S PARTICIPATION IN THE SWEEPSTAKES, THESE OFFICIAL RULES, AND/OR ANY PARTICIPANT’S RECEIPT OF A PRIZE, NO MATTER UNDER WHAT THEORY ARISING, EVEN IF ANY SPINX PARTY HAS BEEN ADVISED OF THE POSSIBLY OF SUCH DAMAGES. SPINX PARTIES’ ENTIRE LIABILITY WITH RESPECT TO: ANY PARTICIPANT’S PARTICIPATION IN THE SWEEPSTAKES, THESE OFFICIAL RULES, AND/OR ANY PARTICIPANT’S RECEIPT OF A PRIZE SHALL BE LIMITED TO $500. IN THE EVENT APPLICABLE LAW DOES NOT ALLOW THE AFOREMENTIONED LIMITATIONS OR EXCLUSIONS OF LIABILITY AND THE ABOVE LIMITATIONS OR EXCLUSIONS DO NOT APPLY.

• • Miscellaneous:   Spinx is not responsible for any error in the selection process. Spinx reserves the right to cancel all or part of the sweepstakes and/or to declare a potential winner ineligible in such a situation. Spinx has the exclusive power to interpret the rules of the sweepstakes, and the decisions of Spinx regarding all matters related to the sweepstakes are final and binding. Spinx shall be the official timekeeper for clocking entries to the sweepstakes. The rules of the sweepstakes will be governed by the laws of the state of South Carolina.

• • Tax Matters: The participants and potential winners receiving any taxable benefit hereunder agree(s) to be solely responsible for the taxes, interest, and penalties due and owing, if any. Spinx makes no representations or warranties regarding the legal effect or tax consequences of the sweepstakes, entry thereof, participation therein, or potentially winning a prize. Each participant further expressly acknowledges that he/she neither received nor relied upon any tax advice from Spinx, its representatives, or attorneys.

• • Use of Collected Materials and Information: Spinx will be collecting, storing, and exploiting personal data about participants to administer the Sweepstakes and exercise its rights hereunder, including without limitation, those relating to marketing and publicity. By entering into any of Spinx’s Sweepstakes, participants agree to Spinx’s collection and use of their personal information. Spinx will not disclose any participant’s personal information to any non-affiliated third party.

• • Dispute Resolution: The parties hereto acknowledge and agree as follows (1) that all disputes, causes of action, and claims connected to or arising in any way hereunder between the parties shall be resolved solely on an individual basis (i.e., class actions suits are hereby waived by the parties) and exclusively by the state or federal courts situated in Greenville County, South Carolina; (2) that the laws of the state of South Carolina shall govern, without regard to its conflict of laws principles; and (3) that the parties hereto waive any right to a trial by jury.

• • Severability: Any provision of these rules that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

• ‘Spinx – Summer Getaway, Giveaway’ Travel Prize
  
  • HOW TO ENTER/ WINNER SELECTION: Consumers will be encouraged via social media, email, the Spinx App, and in-store signage to participate in the ‘Spinx – Summer Getaway, Giveaway’ promotion. Each participating purchase made during the following dates and times will be eligible for entry into the specific sweepstakes as follows:
    
    

06/03/2025 at 12:01 AM ET – 06/30/2025 at 11:59 PM ET: eligible for the June prize;
07/01/2025 at 12:01 AM ET – 07/31/2025 at 11:59 PM ET: eligible for the July prize;
08/01/2025 at 12:01 AM ET – 09/01/2025 at 11:59 PM ET: eligible for the August prize.

Each participating purchase from a registered Spinx Xtras Rewards card (“Xtras”) user is equal to one (1) entry towards the corresponding month’s ‘Spinx – Summer Getaway, Giveaway’ vacation prize. A participating purchase is identified as a completed fuel or merchandise transaction from a registered Xtras card user where either their Spinx App or a Registered Xtras Card is scanned/swiped at the time of the transaction. Transactions without the Spinx App or a Registered Xtras Card will not be considered.  Alternatively, participants may enter the sweepstakes by mail and without purchase necessary. To enter by mail, participants may hand write or type their full name, complete street address, phone number and date of birth on a piece of 3” x 5” paper. Completed entry forms may be mailed to Attn: ‘Spinx – Summer Getaway, Giveaway’ – Entry, The Spinx Company, 1414 E. Washington St., Greenville, SC, 29607. No photocopied or mechanically reproduced entries will be accepted. No responsibility is assumed by Spinx for lost, late, illegible or misdirected entries. All mail-in entries must be postmarked no later than the last day of each month to be eligible for the corresponding month’s prize. Odds of winning are dependent on the number of participating entries. Odds of winning are the same for all entry methods.

One (1) winner will be selected in a random drawing for each monthly giveaway from among all eligible qualifying entries. Within 10 days of the close of each monthly giveaway, Spinx will notify a potential winner by phone and/or email at the email address and/or phone number provided in the Spinx Xtras Rewards system or on the participant’s main-in entry. Potential winners have 72 hours to respond and contact Spinx by phone or email at the contact information listed at the beginning of these Rules to claim the prize. If Spinx does not have confirmation of the winning entry by contact with the potential winner before the end of the 72-hour window, the prize will be forfeited, and another drawing for a potential winner will occur until the prize is officially claimed. Spinx has the right to revoke an offer of the prize if any false information is provided by the potential winner. The prize will be delivered, by means detailed below, within ten (10) days of confirmation between Spinx and the potential winner at no expense to the potential winner.

• • Winning Prize: For each month of June, July and August, the ‘Spinx – Summer Getaway, Giveaway’ prize is the same and is identified as one (1) $7,000 travel voucher to be used with LeisureNet Travel (office location in Greenville, SC). Upon confirmation of the winning entry, Spinx will deliver said voucher to the potential winner within ten (10) days via means approved by the potential winner and at no expense to the potential winner.

Each potential winner will thereafter coordinate their use of the voucher by phone, email or appointment with LeisureNet Travel. Concurrent with delivery of the travel voucher, Spinx will connect the potential winner at a representative for LeisureNet Travel or otherwise provide the contact information for said representative who will be responsible for assisting the potential winner in using the travel voucher. Upon introduction to a LeisureNet Travel representative, the potential winner must provide LeisureNet Travel with any and all  documents it may require to confirm that the identity of the potential winner matches the information that Spinx provided LeisureNet Travel. Once Spinx confirms the identity with LeisureNet Travel and connects the potential winner to its services, Spinx is no longer responsible for the potential winner’s prize, and all communication concerning the travel voucher will be through LeisureNet Travel. LeisureNet may have its own requirements and rules in redeeming the travel voucher, and the potential winner will be bound by the requirements as provided by LeisureNet.

Spinx reserves the right to substitute a prize of equal or greater value if necessary. Prizes are offered to the potential winner in an “as-is” condition. Prizes are without any warranties or guaranties beyond any applicable warranties from the manufacturers. Spinx expressly disclaims all warranties as to the above-mentioned prize.

• ‘Spinx – Summer Getaway, Giveaway’ – Weekly Drop Prize Pack
  
  • HOW TO ENTER/ WINNER SELECTION: Consumers will be encouraged via social media, email, the Spinx App, and in-store signage to enter to win a ‘Spinx – Summer Getaway, Giveaway’ Weekly Drop Prize Pack (each a “Prize Pack”). The participating purchase requirements for each Prize Pack will change weekly, and the requirement will be clearly defined on the Spinx App or related promotional materials as to what the qualifying purchase is for that week’s Prize Pack, and its entry value. A participating purchase is identified as a completed and qualified merchandise transaction (as defined weekly in the Spinx App) from a Spinx App customer when their Spinx App is scanned at the time of the transaction. Transactions without the Spinx App will not be considered. To enter to win a Weekly Drop Prize Pack without making a purchase, a participant may claim a ‘free App’ entry in the Spinx App on the Friday during the promotional week. These ‘free App’ entries are offered by Spinx in the Spinx App during a certain duration or in a limited amount as determined by Spinx. The entries on the Spinx App do not require that a participant make a purchase. Alternatively, participants may enter the sweepstakes by mail and without purchase necessary. To enter by mail, participants may hand write or type their full name, complete street address, phone number and date of birth on a piece of 3” x 5” paper. Completed entry forms may be mailed to Attn: ‘Spinx – Summer Getaway, Giveaway’ – Prize Pack Entry, The Spinx Company, 1414 E. Washington St., Greenville, SC, 29607. No photocopied or mechanically reproduced entries will be accepted. No responsibility is assumed by Spinx for lost, late, illegible or misdirected entries. All mail-in entries must be postmarked no later than Wednesday of each week and received no later than Friday to be eligible for the corresponding week’s Prize Pack. Odds of winning are dependent on the number of participating entries. Odds of winning are the same for all entry methods.
    
    

One (1) Weekly Drop Prize Pack potential winner (otherwise noted below) will be selected in a random drawing for each Prize Pack from among all eligible qualifying entries. A potential winner will be notified by phone and/or email at the email address/phone number provided in the Spinx Xtras Rewards system, on the Spinx App, or on a mail-in entry on the following Monday. Winners have 48 hours to contact Spinx by phone or email at the contact information listed at the beginning of these Rules to claim the prize. If Spinx does not have proof of contact before the end of the 48-hour window, the prize will be forfeited, and Spinx has the right to choose another potential winner or to repurpose the prize. Spinx has the right to revoke if any false information is provided by the potential winner. Spinx shall deliver the prize to the potential winner within ten (10) days of confirmation of the prize. Delivery shall be at no cost to the potential winner.

• • Winning Prize: Below is a list of each Weekly Drop Prize Pack and its estimated retail value. Each Prize Pack is subject to change. There shall be one potential winner for each Prize Pack, which will amount to one potential winner during each week.
